Terms and Service

This Agreement ("Agreement") is entered into between Meyi Cloud Solutions Private Limited ("Meyi"), having an office and place of business at Meyi Cloud Solutions Private Limited, No 388, Vazhudavur Main Road, Shanmugapuram, Pondicherry, India, and the entity agreeing to the terms herein ("Participant," "You," "you," or "Customer"). By using or accessing any part of the Service, You agree that you have read, understood, and agree to be bound by all of these terms and conditions. If You do not agree to all of these terms and conditions, You must not use or access the Service. If You are entering into this Agreement on behalf of a company, You acknowledge that You have the authority to bind that company to the terms of this Agreement.

1. Description of Service

Meyi provides a software-as-a-service (SaaS) platform, also referred to as cloud service, named Meyi ("Service" or "Services"). The Service is offered subject to the terms and conditions of this Agreement. The Customer shall connect to the Service using any supported internet browser or mobile application. The Customer is responsible for obtaining internet access and the necessary equipment to use the Service.

2. Modification of Terms of Service

Meyi reserves the right to update and modify the Terms of Service at any time. Updated versions will be published on our website. Any new features that enhance the current Service, including the release of new tools, will be subject to this Agreement. You may terminate your use of the Services if the terms are modified in a way that substantially affects your rights. Your continued use of the Service after any changes indicates your consent to such changes. The most current version of the Terms of Service can always be reviewed on our website.

3. Restrictions on Use

You shall not:
(i) Transfer or provide the Service to any third party;
(ii) Offer services based on the Service without written permission from Meyi;
(iii) Use the Service for illegal purposes, including spamming;
(iv) Reverse engineer the Service to (a) build a competing product, (b) create a product using similar ideas or functions, or (c) copy any features of the Service.

4. Payment, Refund, and Subscription Terms

A free trial is offered without requiring a credit card. To continue using the Services after the trial period, a paid subscription is required. The subscription is billed monthly or annually, and fees are non-refundable. The subscription automatically renews unless canceled with 30 days' written notice before the end of the term. Subscription options and fees are available on our pricing page, and Meyi reserves the right to adjust subscription fees.
In the case of non-payment or violation of the terms, Meyi may bar the Customer’s access to the Service.

5. Data Ownership & Privacy

The Customer retains ownership of any data provided to Meyi in connection with the use of the Service ("Customer Data"). Meyi will maintain commercially reasonable privacy and security measures to protect Customer Data. The Customer is responsible for managing, controlling, and ensuring that Customer Data complies with applicable data protection regulations.

6. Confidentiality

Confidential Information includes business and technological information disclosed by either party. The recipient must keep all such information confidential and may only disclose it to affiliates, employees, agents, or vendors who require it to perform under this Agreement. Confidential Information does not include public information, independently developed information, or information received without confidentiality obligations from a third party.

7. General Account Terms

Access to the Service is limited to the Customer and Users authorized by the Customer. Usernames and passwords must remain confidential. The Customer is liable for actions taken by authorized Users. The Service must not be used for illegal purposes, and the Customer is responsible for any taxes related to the Service. The Service is owned by Meyi, and the Customer owns their respective data. Any payments made to Meyi via bank transfer must be free of deductions.

8. Warranty and Disclaimer

Meyi warrants 99% uptime for the Service and will provide downtime credits for any breaches of this guarantee. Meyi is not responsible for internet failures, delivery delays, or any issues caused by factors outside of its control. The Service is provided "AS IS" without warranties of merchantability, fitness for a particular purpose, or non-infringement. Meyi takes reasonable steps to protect against viruses but does not guarantee the Service is virus-free.

9. Limitation of Liability

In no event will Meyi be liable for any indirect, consequential, incidental, or punitive damages arising out of your use of the Service. Meyi’s total liability is limited to the fees paid by You for the last three months of the Service.

10. Privacy Terms

Meyi values user privacy and protects personal information shared by Customers in accordance with applicable data protection laws.
